These Terms of Use govern your access to and use of the Gnowise Agent API Portal, API gateway, API keys, property valuation and rent estimate services, white-label widgets, embedded tools, dashboards, monthly property update features, lead capture tools, equity tools, property watch alerts, opportunity alerts, scenario snapshot tools, documentation, and related services provided by Gnowise.
By creating an account, requesting an API key, activating a widget, embedding a Gnowise-powered widget, submitting a request, accessing the portal, using the API, or otherwise using the Services, you agree to these Terms.
If you are using the Services on behalf of a brokerage, real estate team, company, partnership, corporation, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” and “your” refer to both you and the organization you represent.
If you do not agree to these Terms, you must not access or use the Services.
1. Definitions
For these Terms:
“Gnowise,” “we,” “us,” or “our” means Gnowise and its affiliates, contractors, service providers, and authorized operators.
“Services” means the Gnowise Agent API Portal, API gateway, API endpoints, API keys, property valuation services, rent estimate services, white-label widgets, lead generation tools, monthly homeowner update tools, dashboards, reports, documentation, and related software, data, and services.
“Portal” means the Gnowise Agent API Portal made available to agents, brokerages, partners, customers, and authorized users.
“API” means any Gnowise application programming interface, endpoint, gateway, developer tool, authentication mechanism, webhook, data feed, or integration interface.
“Widget” means any Gnowise-powered valuation, rent estimate, lead generation, homeowner update, property watch, scenario snapshot, equity, HELOC, or property intelligence widget, including embedded, universal, white-label, or branded versions.
“White-Label Widget” means a Widget presented under your brand, brokerage name, domain, logo, styling, or public-facing identity.
“End User” means a consumer, homeowner, property owner, renter, seller, landlord, investor, agent client, website visitor, buyer, non-owner property watcher, or other person who submits information through a Widget or otherwise interacts with the Services.
“Lead Data” means information submitted through or generated by a Widget or the Portal, including property information, contact information, consent choices, estimated property values, estimated rents, request metadata, equity information, watch preferences, scenario activity, lead scoring, lead intent, and related follow-up signals.
“Credentials” means API keys, website secrets, widget secrets, installation identifiers, HMAC secrets, tokens, nonces, signing keys, authentication credentials, and any other technical access credential issued or used in connection with the Services.
“Subscription” means a paid plan, recurring billing arrangement, usage-based access plan, API access package, quota allocation, or other paid access arrangement for the Services.
“Equity Dashboard” means any feature that allows an End User or authorized user to estimate mortgage balance, estimated equity, equity percentage, potential borrowing capacity, HELOC-related estimates, or related homeowner financial indicators.
“Opportunity Alerts” means automated or semi-automated notifications generated for agents, teams, brokerages, or authorized users when a lead, property, estimate, rent estimate, equity estimate, HELOC estimate, price band, or other configured threshold changes or is crossed.
“Property Watch Alerts” means alerts requested by an End User, including non-owners, buyers, investors, agents, advisors, or other interested parties, to monitor estimated value, rent estimate, target price, value changes, rent changes, or target ranges for a property.
“Lead Momentum” or “Listing Readiness” means an internal lead-prioritization signal, score, label, confidence indicator, or reason-based badge generated from lead information, stated intent, property changes, engagement activity, equity estimates, alerts, and related signals.
“Scenario Snapshot” means planning-level renovation, improvement, marketability, rent-potential, refinance, or value-uplift scenario information generated through the Services.
“Monthly Homeowner Updates” means periodic property valuation, rent, market, equity, or related property intelligence updates sent or generated for End Users who opt in to receive them.
“Third-Party Provider” means a service provider, data provider, payment processor, email provider, CRM provider, hosting provider, map provider, analytics provider, webhook endpoint, security provider, or other external system used in connection with the Services.
2. Eligibility and Account Registration
You may use the Services only if you are legally able to enter into a binding agreement and comply with these Terms.
You agree to provide accurate, complete, and current account, billing, business, domain, brokerage, and contact information. You are responsible for keeping this information updated.
You are responsible for all activity under your account, API keys, Widgets, domains, and Credentials, whether or not authorized by you. You must promptly notify Gnowise if you believe your account, API key, Widget, website, or Credentials have been compromised.
Gnowise may approve, reject, suspend, or revoke access to the Services at any time, including where required by business, security, compliance, payment, data provider, MLS, board, brokerage, or platform requirements.
3. API Access and Credentials
API keys and Credentials are confidential. You may use them only for the approved account, domain, application, website, Widget, plan, and scope for which they were issued.
You must not:
- share API keys or Credentials with unauthorized parties;
- expose secret keys in public code, browser code, public repositories, screenshots, documents, or logs;
- use API keys on unauthorized domains;
- bypass domain restrictions, signature validation, origin checks, quotas, rate limits, payment controls, consent controls, or abuse-prevention controls;
- use a Widget token as a general API key;
- use an API key outside the scope, plan, or domain approved by Gnowise;
- resell, sublicense, or redistribute API access without written permission from Gnowise;
- reverse engineer, scrape, copy, replay, overload, or abuse API requests;
- use the Services to build, train, power, or support a competing valuation, rent estimate, property intelligence, lead generation, scenario analysis, equity, alerting, or data product without written permission from Gnowise.
Gnowise may rotate, disable, suspend, revoke, or require replacement of any API key, Widget token, website secret, installation secret, or related Credential if we believe it has been compromised, misused, exposed, copied, or used outside the approved scope.
You are responsible for implementing reasonable security controls on your websites, applications, servers, forms, CRM systems, plugins, email systems, and integrations.
4. Domain Restrictions and Widget Authorization
Widgets and API keys may be restricted to approved domains, subdomains, websites, applications, scopes, usage types, and client types.
Gnowise may reject, block, rate-limit, or challenge requests where:
- the request originates from an unauthorized domain;
- the Origin, Referrer, host, or site information is missing, inconsistent, or not approved;
- the Widget ID does not belong to the submitted domain;
- the request uses the wrong client type, scope, or Credential;
- the request signature is invalid;
- the request appears copied, replayed, automated, or abusive;
- the API key is unpaid, inactive, suspended, quota-exceeded, expired, or revoked;
- the request violates these Terms or applicable law.
Using a Widget on a subdomain may require that the subdomain be explicitly approved or covered by your allowed-domain configuration.
Gnowise may use token expiry, token-use limits, IP binding, nonces, replay protection, HMAC signatures, request IDs, origin checks, referrer checks, and other technical controls to validate Widget requests.
5. White-Label Widgets and End-User Disclosures
If you use a Gnowise-powered Widget under your own brand, brokerage, agent name, team name, company name, domain, or white-label presentation, you are responsible for all public-facing disclosures shown to End Users.
Before publishing or activating a White-Label Widget, you must provide accurate and current information, including where applicable:
- your agent, team, brokerage, or company name;
- your business contact information;
- your Privacy Policy URL;
- your consent language;
- your marketing consent language, if marketing follow-up is enabled;
- any brokerage, board, MLS, franchise, regulator, or legal disclosures required for your use case.
Gnowise may require a valid Privacy Policy URL before a White-Label Widget can be activated or displayed.
You are responsible for ensuring that your use of a White-Label Widget complies with all applicable laws, regulations, real estate board rules, MLS rules, brokerage policies, advertising rules, consumer protection rules, privacy laws, and anti-spam laws.
You must not represent that Gnowise is the brokerage, agent of record, appraiser, lender, lawyer, mortgage broker, insurer, contractor, engineer, planner, architect, or advisor to the End User unless Gnowise has agreed to that role in writing.
6. Lead Capture, Consent, and End-User Information
Widgets may collect, process, display, send, or store information submitted by End Users or generated through the Services, including:
- property address;
- postal code;
- province;
- city or region;
- property type;
- property attributes;
- estimated property value;
- estimated rent;
- valuation range;
- rent range;
- confidence scores;
- seller, landlord, refinance, buyer, investor, property-watch, or homeowner intent signals;
- name;
- email address;
- phone number;
- consent preferences;
- marketing consent preferences;
- monthly update opt-in status;
- mortgage balance or estimated remaining mortgage amount;
- estimated equity amount;
- estimated equity percentage;
- estimated HELOC or borrowing capacity;
- property watch preferences;
- target price, target value range, rent-change threshold, or value-change threshold;
- scenario budget tier, improvement goal, selected scenario, and scenario interaction data;
- lead momentum, listing-readiness score, confidence label, and reason codes;
- alert preferences, alert history, unsubscribe status, suppression status, and engagement events;
- IP address or IP-derived hash;
- browser metadata;
- domain and referrer information;
- security and usage logs;
- CRM delivery status;
- email delivery status;
- webhook status;
- request and response metadata.
You must ensure that End Users are clearly informed of what information is collected, why it is collected, who may receive it, and how it may be used.
You must not submit or cause to be submitted inaccurate, misleading, fraudulent, unauthorized, or unlawfully collected information.
Where the Widget is configured to send follow-up communications, monthly homeowner updates, property watch alerts, marketing messages, CRM notifications, SMS messages, or email notifications, you are responsible for ensuring that proper consent is collected and maintained.
Where required, commercial electronic messages must include legally required sender identification and unsubscribe functionality.
Mortgage balance and equity-related information may be sensitive financial information. Where enabled, you are responsible for ensuring that End Users understand why this information is requested, how it may be used, and who may receive it. Gnowise may provide settings to limit, redact, suppress, anonymize, or avoid storing certain sensitive fields depending on the applicable configuration.
7. Monthly Homeowner Updates
The Services may allow End Users to opt in to monthly property updates, homeowner updates, valuation refreshes, rent estimate updates, market insights, equity updates, or related property intelligence communications.
Where monthly updates are enabled, Gnowise or the applicable agent, team, brokerage, or authorized integration may process updated property valuation, rent estimate, market, equity, alert, and related information at scheduled intervals.
Monthly updates may be delayed, skipped, paused, or stopped where:
- the API key is inactive;
- the Subscription is inactive;
- payment has failed;
- quota has been exceeded;
- the Widget is disabled;
- the End User has not provided valid consent;
- contact information is missing or invalid;
- the agent or brokerage has disabled updates;
- the End User has unsubscribed;
- the request fails validation;
- technical, operational, data provider, or service issues prevent processing.
Gnowise does not guarantee that monthly updates will be delivered on a specific date or at a specific frequency.
You are responsible for ensuring that monthly update communications comply with applicable consent, unsubscribe, privacy, brokerage, advertising, and anti-spam requirements.
8. Equity Dashboard and HELOC Estimates
The Services may include an Equity Dashboard or similar feature that allows an End User to enter an estimated mortgage balance or remaining mortgage amount. Based on that information and an estimated property value, the Services may display estimated equity, equity percentage, and potential HELOC or borrowing-capacity estimates.
Equity Dashboard outputs are informational estimates only. They are not mortgage advice, lending advice, financial advice, credit advice, refinancing approval, loan approval, or a guarantee that any lender will offer financing.
HELOC or borrowing-capacity estimates may use configurable assumptions, such as loan-to-value ratios. Actual borrowing capacity depends on lender criteria, credit profile, income, debt obligations, property type, appraisal, legal requirements, and other factors outside Gnowise’s control.
You must not represent Equity Dashboard outputs as guaranteed, approved, lender-verified, professionally verified, or suitable for making a financing decision without independent professional review.
Where mortgage balance is collected, you are responsible for using appropriate privacy, consent, access, retention, and disclosure controls.
9. Opportunity Alerts and Agent Notifications
The Services may provide Opportunity Alerts, Listing Alerts, Equity Alerts, Rent Alerts, HELOC Alerts, Scenario Alerts, Lead Momentum Alerts, or other threshold-based notifications to agents, teams, brokerages, or authorized users.
Opportunity Alerts may be based on estimated property value changes, estimated rent changes, estimated equity, estimated HELOC capacity, price bands, stated intent, monthly update history, Property Watch activity, Scenario Snapshot activity, engagement activity, or other configured signals.
Opportunity Alerts are intended to help users prioritize follow-up. They are not guarantees that an End User intends to sell, refinance, rent, buy, list, borrow, renovate, or take any other action.
Gnowise does not guarantee that alerts will be generated, delivered, accurate, timely, complete, or suitable for any specific business decision. Alerts may be delayed, skipped, suppressed, throttled, or disabled due to configuration, consent, quota, payment status, rate limits, technical issues, provider issues, unsubscribe status, or data availability.
You are responsible for ensuring that any follow-up communication based on alerts complies with applicable privacy, anti-spam, brokerage, advertising, consumer protection, and professional rules.
10. Property Watch Alerts
The Services may allow End Users, including non-owners, buyers, investors, agents, advisors, or other interested parties, to watch a property and request alerts when estimated value, estimated rent, target price, target range, or other configured thresholds change or are crossed.
Property Watch Alerts do not confirm ownership, sale status, listing status, availability, market price, or transaction eligibility. A watched property may not be for sale, may not be available for rent, and may not be represented by the agent or brokerage using the Widget.
End Users must provide consent to receive Property Watch Alerts and must be able to unsubscribe where required. Gnowise or the applicable agent/brokerage may suppress, pause, stop, or delete watch alerts based on unsubscribe status, consent status, invalid contact information, system configuration, or legal/compliance requirements.
Property Watch Alerts are informational only and should not be treated as appraisal, investment, legal, financing, construction, development, or brokerage advice.
You must not use Property Watch Alerts to imply that a watched property is listed, available, represented by you, or available for purchase or rent unless independently verified.
11. Lead Momentum and Listing-Readiness Signals
The Services may generate internal lead-prioritization signals, including Lead Momentum, Listing Readiness, Likely-to-List labels, confidence indicators, reason codes, follow-up priority, or similar scoring outputs.
These signals are intended for internal prioritization and follow-up support only. They do not guarantee that an End User will sell, list, refinance, rent, buy, borrow, renovate, or take any other action.
Lead Momentum and Listing-Readiness outputs may be based on stated intent, time elapsed, estimated value changes, rent estimate changes, equity estimates, HELOC estimates, monthly update activity, Property Watch activity, Scenario Snapshot activity, lead score, and other engagement or property signals.
You must not use these signals in a misleading, discriminatory, unlawful, invasive, or harassing manner. You are responsible for ensuring that any follow-up communication based on these signals complies with applicable privacy, anti-spam, brokerage, advertising, and consumer protection rules.
Lead Momentum outputs should not be presented to End Users as a factual prediction that they will sell, list, refinance, rent, buy, borrow, renovate, or transact.
12. Scenario Snapshot and Improvement Options
The Services may provide Scenario Snapshot, renovation, improvement, marketability, rent-potential, refinance, or value-uplift examples. These outputs may estimate potential cost ranges, value impact, rent impact, risk level, ROI category, or suggested use case.
Scenario Snapshot outputs are planning-level estimates only. They are not construction advice, engineering advice, zoning advice, permit advice, appraisal advice, investment advice, tax advice, legal advice, environmental advice, lending advice, or a guarantee of value increase, rent increase, project cost, permit approval, development feasibility, resale outcome, financing outcome, or return on investment.
Scenario outputs may be based on simplified assumptions, estimated property information, configurable rules, local model assumptions, available data, and optional third-party providers. Actual project costs and outcomes may vary significantly.
Scenario Snapshot features may be available only in selected cities, provinces, postal areas, property types, or supported service regions. If a property is outside a supported location or lacks sufficient data, Scenario Snapshot may be hidden, limited, or unavailable.
You and End Users should consult qualified contractors, appraisers, lenders, architects, engineers, planners, lawyers, zoning professionals, tax advisors, and other qualified professionals before making renovation, construction, financing, investment, or development decisions.
You must not represent Scenario Snapshot outputs as professionally verified, permit-ready, zoning-approved, lender-approved, contractor-quoted, or guaranteed.
13. Payments, Subscriptions, Quotas, and Billing
Paid access to the Services is processed through Stripe directly. The Services do not rely on WooCommerce payment processing unless separately stated in writing by Gnowise.
By purchasing, activating, or maintaining a Subscription, you authorize Gnowise and Stripe to charge the applicable fees, recurring subscription amounts, usage-based fees, taxes, overage fees, add-on fees, and other charges associated with your selected plan.
Subscription access, API keys, quotas, Widgets, and related features may depend on successful payment, active billing status, valid Stripe subscription status, and compliance with these Terms.
Gnowise may suspend, limit, or terminate access if:
- payment fails;
- a Subscription is cancelled;
- a charge is disputed or reversed;
- billing information is invalid;
- Stripe reports the account or Subscription as inactive, unpaid, incomplete, past due, or cancelled;
- quota is exceeded;
- usage exceeds the permitted plan;
- fraud, abuse, or suspicious payment activity is detected.
Unless otherwise agreed in writing, fees are non-refundable.
Gnowise may change pricing, quotas, plans, usage limits, overage rates, included features, or billing terms by providing notice through the Portal, website, invoice, email, or other reasonable method.
You are responsible for all taxes, duties, and governmental charges associated with your purchase and use of the Services.
14. API Usage Limits, Quotas, and Rate Limits
Your use of the Services may be subject to quotas, monthly limits, per-key limits, per-domain limits, per-Widget limits, per-IP limits, per-email limits, endpoint limits, burst limits, alert limits, scenario limits, OpenAI/AI limits, email limits, and other technical or commercial usage controls.
Gnowise may monitor and enforce usage limits automatically.
Requests may be blocked, delayed, queued, skipped, rate-limited, or rejected if usage exceeds permitted thresholds or appears abnormal, automated, abusive, fraudulent, or inconsistent with your plan.
Unused quotas, credits, or included lookups do not carry forward unless your plan expressly states otherwise.
Gnowise may change or adjust rate limits and abuse controls to protect the Services, infrastructure, partners, users, data providers, and customers.
Some features may consume additional API calls, credits, compute resources, email provider usage, AI usage, map provider usage, or third-party provider usage. Gnowise may restrict or disable high-cost features where necessary to protect stability, cost control, or fair usage.
15. Security and Abuse Prevention
Gnowise may use technical and operational controls to protect the Services, including:
- HMAC signature verification;
- API key validation;
- domain validation;
- Origin and Referrer validation;
- token expiry;
- token-use limits;
- browser nonces;
- replay protection;
- request IDs;
- installation identifiers;
- client-type validation;
- scope validation;
- honeypot fields;
- minimum form-fill timing checks;
- disposable email checks;
- IP, domain, email, Widget, and API-key rate limits;
- suspicious usage detection;
- security event logging;
- blocked-domain logging;
- invalid-signature logging;
- denied-request logging;
- CAPTCHA, reCAPTCHA, or Cloudflare Turnstile checks where enabled;
- credential rotation controls;
- webhook verification;
- payment and quota validation;
- trusted-proxy validation;
- suppression lists;
- unsubscribe enforcement;
- provider webhook validation.
Gnowise may block, challenge, log, alert, suspend, or terminate activity that appears suspicious, automated, abusive, unauthorized, fraudulent, excessive, or harmful.
You must not attempt to bypass, disable, reverse engineer, interfere with, or misrepresent any security, billing, quota, consent, privacy, domain, or abuse-prevention control.
16. Lead Data Retention, Deletion, and Anonymization
The Services may include configurable retention and privacy controls for Lead Data.
Depending on the configuration, Lead Data may be:
- retained for a defined period;
- anonymized after a defined period;
- deleted after a defined period;
- stored without contact information after delivery;
- delivered to an authorized CRM, webhook, email recipient, or agent/brokerage system;
- retained only in limited operational, security, billing, or audit logs.
Even where contact details are deleted or anonymized, Gnowise may retain limited records needed for:
- security;
- fraud prevention;
- billing;
- quota enforcement;
- dispute resolution;
- legal compliance;
- audit logging;
- system integrity;
- abuse detection;
- service improvement;
- troubleshooting;
- unsubscribe and suppression enforcement.
Mortgage balance, equity inputs, scenario selections, property watch thresholds, and engagement signals may be subject to special retention, redaction, anonymization, or suppression settings.
You are responsible for configuring retention settings appropriately for your legal, brokerage, business, privacy, and consumer-disclosure obligations.
You must not use the Services to retain personal information longer than necessary for the disclosed purpose unless you have a lawful basis to do so.
17. Email, SMS, Alerts, and Unsubscribe Controls
The Services may send or help facilitate emails, SMS messages, CRM notifications, webhook notifications, monthly updates, property watch alerts, opportunity alerts, agent alerts, system alerts, billing alerts, security alerts, and related communications.
Where unsubscribe is required, messages must include an unsubscribe mechanism or preference-management mechanism. Gnowise may provide unsubscribe links, signed unsubscribe tokens, suppression records, and preference controls.
End Users may be able to unsubscribe from:
- monthly homeowner updates;
- property watch alerts;
- marketing messages;
- certain non-transactional communications;
- communications from a specific agent, team, brokerage, or Widget, depending on configuration.
Operational, billing, security, legal, system, and account-related notices may continue where permitted or required.
You are responsible for ensuring that commercial electronic messages, marketing communications, follow-up messages, SMS messages, and automated communications comply with applicable consent, identification, unsubscribe, privacy, brokerage, and anti-spam requirements.
18. Third-Party Services and Integrations
The Services may integrate with or transmit information through Third-Party Providers, including payment processors, email providers, SMTP providers, CRM systems, webhook endpoints, analytics tools, hosting providers, security providers, map providers, AI providers, data providers, zoning or permit providers, and other technical service providers.
Examples may include Stripe for payment processing and subscription management, email/SMTP/SendGrid or similar providers for notifications, CRM or webhook services for lead delivery, Google Maps or similar services for map/address features, and security services for abuse prevention.
Your use of Third-Party Providers may be subject to separate terms, privacy policies, fees, limitations, and security requirements.
Gnowise is not responsible for third-party services that you configure, control, or connect to the Services.
You are responsible for ensuring that your third-party integrations are secure, lawful, properly authorized, and suitable for receiving any Lead Data or End User information transmitted to them.
Features relying on Third-Party Providers may be unavailable, delayed, limited, or inaccurate if those providers are unavailable, misconfigured, restricted, rate-limited, or changed.
19. Property Data, Valuations, Rent Estimates, and Outputs
The Services may provide property information, estimated property values, estimated rent, valuation ranges, confidence scores, historical estimates, growth indicators, risk indicators, lead scores, property attributes, market indicators, equity estimates, HELOC estimates, Property Watch alerts, Opportunity Alerts, Lead Momentum scores, listing-readiness labels, scenario estimates, improvement options, cost estimates, value-uplift estimates, rent-uplift estimates, ROI categories, and related automated insights.
These outputs are generated using automated models, available data, partner data, third-party data, public information, proprietary analytics, statistical methods, user-submitted information, configurable assumptions, and other data sources.
Outputs may be incomplete, delayed, unavailable, estimated, modelled, AI-estimated, inaccurate, or based on limited data.
You must not represent Gnowise outputs as guaranteed, certified, verified, or definitive unless Gnowise expressly states otherwise in writing.
You are responsible for reviewing, validating, and contextualizing any output before using it in communications, decisions, reports, marketing, financing, underwriting, listing discussions, investment analysis, client advice, renovation planning, or follow-up workflows.
20. No Appraisal, Legal, Financial, Mortgage, Tax, Construction, Zoning, or Investment Advice
The Services are provided for informational and analytical purposes only.
Gnowise does not provide appraisals, legal advice, financial advice, mortgage advice, tax advice, investment advice, insurance advice, brokerage advice, lending decisions, construction advice, engineering advice, zoning advice, permit advice, architectural advice, contractor advice, planning advice, or development advice.
Property valuations, rent estimates, ranges, confidence scores, forecasts, risk indicators, lead scores, market insights, equity estimates, HELOC estimates, Opportunity Alerts, Property Watch Alerts, Lead Momentum signals, listing-readiness labels, scenario outputs, renovation cost estimates, ROI categories, and related outputs are estimates only.
They are not appraisals, broker price opinions, lending decisions, investment recommendations, tax opinions, construction opinions, permit opinions, zoning opinions, guarantees of market value, guarantees of sale price, guarantees of rent, guarantees of refinancing eligibility, guarantees of liquidity, guarantees of listing intent, guarantees of development feasibility, guarantees of renovation outcome, or guarantees of future performance.
For clarity, Scenario Snapshot outputs are not zoning, construction, engineering, permit, appraisal, tax, legal, or investment advice. Equity Dashboard and HELOC outputs are not mortgage advice, credit advice, lending advice, or financing approval. Lead Momentum and Listing-Readiness outputs are not guarantees of seller, buyer, landlord, refinance, renovation, or transaction intent.
You and your End Users should independently verify all information and consult qualified professionals before making real estate, lending, investment, legal, tax, insurance, renovation, construction, financing, development, or financial decisions.
21. Location-Limited Features and Data Availability
Certain Services or features may be available only in selected cities, provinces, postal areas, property types, markets, data regions, or service regions.
Location-limited features may include Scenario Snapshot, renovation or improvement options, zoning-related assumptions, permit-related assumptions, advanced maps, property watch logic, equity assumptions, alert thresholds, rent estimates, or other data-driven features.
If a property is outside a supported location or lacks sufficient data, the applicable feature may be hidden, unavailable, limited, delayed, or replaced with a general informational message.
Supported locations, data coverage, providers, assumptions, and availability may change at any time.
22. Permitted Use
Subject to these Terms, you may use the Services for approved business purposes, including:
- generating property valuation estimates;
- generating rent estimates;
- capturing homeowner, seller, landlord, refinance, buyer, investor, or property-watch leads;
- operating approved Widgets on approved domains;
- providing property intelligence to clients or prospects;
- supporting agent or brokerage follow-up;
- monitoring monthly homeowner update opt-ins;
- managing Property Watch Alerts;
- managing Opportunity Alerts;
- viewing internal lead momentum or listing-readiness signals;
- displaying planning-level Scenario Snapshot outputs;
- managing API usage, quotas, and subscriptions;
- integrating approved CRM, email, SMS, and webhook workflows.
Your use must remain within your approved plan, domain, scope, technical limits, legal obligations, and these Terms.
23. Prohibited Use
You must not use the Services to:
- violate any law, regulation, court order, real estate rule, MLS rule, brokerage policy, privacy rule, consumer protection rule, advertising rule, or anti-spam rule;
- submit fraudulent, misleading, false, unauthorized, or unlawfully collected information;
- scrape, copy, harvest, replay, bulk-submit, automate, or overload requests;
- bypass or interfere with rate limits, domain restrictions, quotas, security controls, payment controls, consent controls, unsubscribe controls, suppression controls, or authentication controls;
- use stolen, leaked, or unauthorized Credentials;
- resell, sublicense, redistribute, or commercialize API outputs except as expressly permitted;
- build or support a competing property valuation, rent estimate, lead generation, data, alerting, scenario, equity, or property intelligence product without written permission;
- reverse engineer, decompile, disassemble, test, probe, or attack the Services except with written permission;
- send spam or unlawful commercial electronic messages;
- use disposable, misleading, fake, or unauthorized contact information;
- upload or transmit malware, malicious code, or harmful content;
- interfere with the security, integrity, availability, performance, or operation of the Services;
- use Lead Momentum, Listing-Readiness, Opportunity Alerts, Property Watch Alerts, equity estimates, HELOC estimates, or scenario outputs to make unlawful, discriminatory, deceptive, harassing, or invasive targeting decisions;
- represent automated alerts, lead scores, scenario outputs, equity estimates, or HELOC estimates as guaranteed, lender-approved, professionally verified, or suitable for final decision-making without independent review;
- use Property Watch Alerts to imply that a watched property is listed, available, represented by you, or available for purchase or rent unless independently verified;
- violate the rights of Gnowise, End Users, partners, data providers, or third parties.
24. Compliance With Laws and Professional Rules
You are responsible for complying with all laws, regulations, professional standards, brokerage rules, MLS rules, board rules, advertising requirements, privacy laws, anti-spam laws, consumer protection laws, data protection obligations, and professional obligations applicable to your use of the Services.
This includes, where applicable, ensuring that:
- End Users receive appropriate disclosures;
- consent is properly obtained and recorded;
- marketing communications comply with applicable consent and unsubscribe requirements;
- personal information is collected, used, disclosed, retained, and deleted appropriately;
- sensitive financial information is handled appropriately;
- data is used only for disclosed and lawful purposes;
- automated lead scoring or alerting is used responsibly;
- your brokerage, board, MLS, franchise, or regulator permits the intended use.
Gnowise may suspend or terminate access if we believe your use may create legal, regulatory, contractual, data provider, MLS, security, privacy, or reputational risk.
25. Your Responsibilities for End Users
You are responsible for your communications and relationships with End Users.
You must not mislead End Users about:
- who operates the Widget;
- who will receive their information;
- why their information is collected;
- whether they will be contacted;
- whether they are opting in to monthly updates;
- whether they are opting in to marketing;
- whether they are opting in to Property Watch Alerts;
- whether they are opting in to SMS messages;
- whether the estimate is an appraisal or guaranteed value;
- whether a watched property is for sale or available;
- whether a scenario output is zoning-approved, permit-ready, or professionally reviewed;
- whether a HELOC or equity estimate is lender-approved;
- whether Gnowise is acting as a brokerage, agent, lender, appraiser, contractor, planner, architect, engineer, mortgage broker, lawyer, insurer, or advisor.
Where you use a White-Label Widget, you are responsible for ensuring that your own Privacy Policy and terms accurately describe your collection, use, disclosure, retention, deletion, alerting, scoring, and follow-up practices.
26. Data Accuracy and Availability
Gnowise attempts to provide useful property intelligence, but we do not guarantee that any data, output, report, result, estimate, alert, score, recommendation, or API response will be accurate, complete, current, uninterrupted, or available.
Data may be affected by:
- incomplete property records;
- delayed data updates;
- missing transactions;
- limited comparable data;
- model limitations;
- unusual property characteristics;
- address parsing issues;
- third-party provider limitations;
- data provider outages;
- API outages;
- user-submitted inaccuracies;
- market volatility;
- regulatory or licensing limits;
- location coverage limits;
- incomplete mortgage or equity inputs;
- simplified scenario assumptions;
- map or geocoding limitations;
- email or webhook delivery issues.
Gnowise may modify, suspend, replace, or discontinue data sources, model logic, endpoints, fields, outputs, alerts, scores, assumptions, or features at any time.
27. Service Availability and Maintenance
Gnowise does not guarantee uninterrupted or error-free availability of the Services.
The Services may be unavailable, delayed, degraded, or interrupted due to maintenance, updates, security controls, hosting issues, third-party outages, payment provider issues, API provider issues, data provider limitations, email provider issues, map provider issues, AI provider issues, network issues, force majeure events, or other factors.
Gnowise may perform scheduled or unscheduled maintenance without liability.
28. Intellectual Property
The Services, API, software, models, algorithms, dashboards, documentation, designs, workflows, data structures, trademarks, logos, content, and related technology are owned by Gnowise or its licensors.
Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, create derivative works from, or exploit any part of the Services.
You retain ownership of information you submit to the Services, subject to the rights granted to Gnowise under these Terms and the applicable Privacy Policy.
You grant Gnowise a limited right to process, store, transmit, analyze, secure, and use submitted information as necessary to provide, maintain, secure, improve, support, and enforce the Services.
29. Feedback
If you provide feedback, suggestions, ideas, requests, comments, bug reports, or recommendations about the Services, you grant Gnowise the right to use them without restriction, obligation, compensation, or attribution.
30. Confidentiality
Non-public information about the Services, including API documentation, pricing, technical implementation, security controls, model logic, data structure, roadmap, credentials, business terms, provider configuration, and performance information, may be confidential.
You must not disclose Gnowise confidential information except as required to use the Services as permitted by these Terms or as required by law.
31. Privacy
Your use of the Services is also governed by the applicable Gnowise Privacy Policy.
Where you operate a White-Label Widget, your own Privacy Policy must also accurately disclose your role, your use of End User information, your contact practices, your retention practices, your alerting and scoring practices, and any third-party systems receiving End User information.
Your Privacy Policy should address, where applicable:
- lead capture;
- valuation and rent estimate requests;
- monthly homeowner updates;
- mortgage balance and equity-related information;
- Property Watch Alerts;
- Opportunity Alerts;
- Lead Momentum or Listing-Readiness scoring;
- Scenario Snapshot interaction data;
- CRM and webhook delivery;
- email, SMS, and notification providers;
- retention, deletion, anonymization, and suppression practices.
In the event of a conflict between these Terms and the Gnowise Privacy Policy regarding the handling of personal information, the Privacy Policy will control to the extent required by applicable privacy law.
32. Suspension and Termination
Gnowise may suspend, limit, or terminate your account, API keys, Widgets, Subscription, monthly updates, alerts, quotas, or access to the Services at any time if:
- you violate these Terms;
- payment fails;
- a Subscription is cancelled or inactive;
- quota is exceeded;
- suspicious activity is detected;
- Credentials are exposed or compromised;
- unauthorized domains are used;
- security checks fail;
- invalid signatures or replay attempts occur;
- abuse, scraping, automation, or fraud is suspected;
- required disclosures or privacy policy information are missing;
- your use creates legal, regulatory, security, privacy, infrastructure, partner, data provider, MLS, or reputational risk;
- continued access would harm Gnowise, End Users, partners, customers, infrastructure, or data providers.
You may stop using the Services at any time. Stopping use does not automatically cancel paid Subscriptions unless cancellation is completed through the required billing or account process.
After termination, Gnowise may retain limited records as necessary for legal, billing, security, audit, dispute-resolution, fraud-prevention, unsubscribe enforcement, suppression enforcement, and enforcement purposes.
33. Disclaimers
The Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Gnowise disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of accuracy, completeness, availability, merchantability, fitness for a particular purpose, non-infringement, title, uninterrupted service, error-free operation, and suitability for any real estate, lending, investment, brokerage, legal, tax, insurance, renovation, construction, development, or financial decision.
Gnowise does not guarantee that the Services will meet your requirements, that outputs will be accurate or complete, that data will be available for every property, or that any estimate will match market value, sale price, rent, appraisal value, financing value, construction cost, renovation cost, development feasibility, listing intent, or future performance.
34. Limitation of Liability
To the maximum extent permitted by law, Gnowise will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, lost data, lost goodwill, loss of use, business interruption, reputational harm, or cost of substitute services.
To the maximum extent permitted by law, Gnowise’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount paid by you to Gnowise for the Services giving rise to the claim during the three months before the event giving rise to liability.
The limitations in this section apply regardless of the legal theory, whether in contract, tort, negligence, strict liability, statute, or otherwise, and even if Gnowise has been advised of the possibility of such damages.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
35. Indemnification
You agree to defend, indemnify, and hold harmless Gnowise, its affiliates, officers, directors, employees, contractors, partners, licensors, and service providers from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your use of the Services;
- your Widgets or White-Label Widgets;
- your End User communications;
- your violation of these Terms;
- your violation of law;
- your violation of brokerage, MLS, board, franchise, or professional rules;
- your misuse of API keys or Credentials;
- your unauthorized domain, application, or integration;
- your failure to obtain proper consent;
- your privacy policy, disclosures, or marketing practices;
- your CRM, webhook, SMTP, email, SMS, or third-party integrations;
- your use of Equity Dashboard outputs;
- your use of HELOC or borrowing-capacity estimates;
- your use of Property Watch Alerts;
- your use of Opportunity Alerts;
- your use of Lead Momentum or Listing-Readiness outputs;
- your use of Scenario Snapshot outputs;
- your data, content, submissions, or instructions;
- any dispute between you and an End User, client, brokerage, partner, or third party.
36. Changes to the Services
Gnowise may modify, update, suspend, discontinue, replace, or remove any part of the Services at any time, including:
- endpoints;
- fields;
- models;
- outputs;
- dashboards;
- Widget features;
- security controls;
- quotas;
- rate limits;
- pricing;
- plans;
- billing methods;
- data sources;
- documentation;
- integrations;
- retention options;
- consent features;
- Equity Dashboard;
- HELOC estimate assumptions;
- Opportunity Alerts;
- Property Watch Alerts;
- Lead Momentum or Listing-Readiness logic;
- Scenario Snapshot assumptions;
- supported locations for scenario or alert features;
- third-party provider availability;
- email, SMS, CRM, webhook, or map integrations.
Gnowise is not liable for modifications, suspensions, or discontinuation of any part of the Services.
37. Changes to These Terms
Gnowise may update these Terms from time to time.
When we update the Terms, we may provide notice by posting the updated Terms on our website, updating the “Last updated” date, sending an email, posting a Portal notice, or using another reasonable method.
Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
If you do not agree to the updated Terms, you must stop using the Services and cancel any applicable Subscription.
38. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.
The courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, unless applicable law requires otherwise.
39. Force Majeure
Gnowise will not be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, labour disputes, internet or telecommunications failures, hosting failures, cyberattacks, data provider outages, payment provider outages, government actions, changes in law, power failures, or other force majeure events.
40. Assignment
You may not assign or transfer these Terms, your account, API keys, Widgets, Subscription, or rights to use the Services without Gnowise’s prior written consent.
Gnowise may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate transaction, or transfer of the Services.
41. Severability
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.
The invalid, unlawful, or unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.
42. No Waiver
Gnowise’s failure to enforce any provision of these Terms does not waive Gnowise’s right to enforce that provision or any other provision later.
43. Entire Agreement
These Terms, together with any applicable order form, subscription plan, invoice, API documentation, Privacy Policy, data processing terms, and written agreement between you and Gnowise, form the entire agreement between you and Gnowise regarding the Services.
If there is a conflict between these Terms and a signed written agreement with Gnowise, the signed written agreement will control for that conflict.
